CONDITIONS OF USE

By using our software, you agree to comply with all applicable laws and the terms of this ASAP Utilities End User License Agreement (hereinafter: 'Agreement').

If you do not agree to the terms and conditions of this Agreement, do not install or use ASAP Utilities (hereinafter: 'SOFTWARE').

SOFTWARE EDITIONS

The SOFTWARE is available in two editions:

Home & Charity Edition: This edition is free of charge and may only be used for non-commercial purposes. It is intended for personal use, individual students, and registered non-profit or charitable organizations.
It may not be used in any business, government, or other professional setting, unless the organization is a registered non-profit or charity using the SOFTWARE for non-commercial work.
This edition typically needs to be updated once or twice per year by the user to ensure compatibility with the latest versions of Excel and Windows. It may not always include the newest features available in the Professional Edition.

Professional Edition: This edition is intended for commercial, government, and other professional use. It includes a fully functional 90-day trial. After the trial, a license is required to continue using the SOFTWARE.
A Professional Edition license is a one-time purchase that does not expire and includes three years of free upgrades. After that period, licensed users may continue using the version(s) their license covers indefinitely, including reinstalling it if needed.

LICENSE

Single-user license

A single-user license grants the right for one named individual (the licensed user) to use the SOFTWARE. That person may activate and use the SOFTWARE under up to three of its own Windows user accounts. These accounts may be on the same or different computers, including desktops, laptops, or remote environments such as Citrix or Remote Desktop.

The SOFTWARE is licensed for use by named individuals, but the license itself may be held either by an organization or by a private individual.

If the license is purchased by an organization: The organization may assign and reassign the license to a different named individual within the same company or organization as needed (for example, if someone leaves or changes roles).

If the license is purchased by a private individual: It is for personal use only and may not be shared or transferred to others.

The SOFTWARE may not be shared by multiple people under a single-user license.
However, in specific shared-use scenarios such as a kiosk, lab computer, or service desk setup, a single-user license may be used non-simultaneously by up to three individuals on the same shared computer. Each person must have their own Windows user account. This shared-use exception is limited to a single device and does not apply to general or unrestricted multi-user environments. The same single-user license may not be used by those users on additional computers.

Multi-user license

If you purchase a multi-user license (e.g., for 25 or 100 users), it permits that number of named individuals within your company or organization to use the SOFTWARE. Each licensed user may activate the SOFTWARE under up to three of their own Windows user accounts.

You are responsible for ensuring that the number of users at any time does not exceed the number of licenses purchased. We trust our clients to use the SOFTWARE fairly and in accordance with this Agreement.

License Transfers

A license is non-transferable and may not be assigned, shared, or sublicensed to others outside the licensed organization or individual.

However, if your organization is acquired, merged, or reorganized, the license may continue to be used by the successor entity, provided the SOFTWARE remains used in accordance with this Agreement.

Resellers or purchasing agents may purchase licenses on behalf of their clients, provided that the end-user's name and organization are accurately provided at the time of purchase.

DATA PRIVACY

The SOFTWARE runs locally on your system and does not transmit or store any of your Excel data or documents. All actions take place within your own environment or network. No business, personal, or document data is collected or sent to A Must in Every Office BV or any other third party. If you export or save information using the SOFTWARE, that is entirely under your control.

The SOFTWARE connects to our server to activate, deactivate, or validate a license. These connections are strictly limited to license management and may include minimal system-related information to verify the license and prevent misuse.

To help improve the SOFTWARE, anonymous usage data may optionally be sent to our server. It includes general information such as your Excel and Windows versions and languages, the SOFTWARE version and language, your most used tools, and an anonymized IP address. No personal or document data is included. You can turn this feature on or off in the settings.

OWNERSHIP

The SOFTWARE is protected by copyright laws, international treaties, and other applicable intellectual property laws.

This License does not constitute a sale of the SOFTWARE. A Must in Every Office BV retains all rights, title, interest, and ownership of the SOFTWARE and its documentation, including all associated intellectual property rights.

No intellectual property rights in the SOFTWARE are transferred to you, and you acquire only those rights expressly granted in this Agreement.

PROHIBITED ACTIONS

You may not reverse engineer, decompile, disassemble, modify, translate, or otherwise attempt to derive the source code or internal structure of the SOFTWARE, in whole or in part.
If you are an organization, you agree to take reasonable steps to prevent your employees or contractors from doing so.

The SOFTWARE is licensed as a single product. Its components may not be separated, redistributed, or used independently in any way.

You may make backup or archival copies of the SOFTWARE, provided those copies remain in your possession and the SOFTWARE is not installed or used beyond the scope of your license.

COMPLIANCE WITH LAWS AND INDEMNIFICATION

You agree to use the SOFTWARE in accordance with all applicable laws and regulations of The Netherlands and your jurisdiction, including intellectual property laws.

You may not use the SOFTWARE with any device, system, or service intended to bypass access controls or infringe upon the rights of others.

If the SOFTWARE is used by you in a way that violates another party's rights or applicable law, and A Must in Every Office BV faces a related claim, fine, or legal action as a result, you agree to take full responsibility and cover any related costs, including reasonable legal fees.

LIMITED WARRANTY

A Must in Every Office BV does not warrant that the SOFTWARE is fault-tolerant or error-free. You acknowledge that the SOFTWARE and accompanying documentation are provided "as is".

A Must in Every Office BV disclaims all other warranties, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and noninfringement of third-party rights.

While the SOFTWARE is developed with attention to quality and stability, you remain responsible for how it is used within your environment.

LIMITATION OF LIABILITY

The total liability of A Must in Every Office BV for any claim for recovering damages (including breach of this Agreement), shall not exceed the amount actually received by A Must in Every Office BV for your license to the SOFTWARE.

In no event shall A Must in Every Office BV be liable to you for any consequential loss or damage, loss of actual or anticipated profits (whether direct or indirect), loss of contract or business or other losses or damages arising from your use of the SOFTWARE, whether arising from breach of contract, tort, or any other legal basis. These limitations and exclusions apply if this remedy doesn't fully compensate you for any losses or fails of its essential purpose or if we knew or should have known about the possibility of the damages.

To the maximum extent permitted by law, these limitations and exclusions apply to anything or any claims related to this Agreement.

EXPORT

You acknowledge that the SOFTWARE and its documentation may be subject to export control laws and regulations of The Netherlands, the United States, and other applicable jurisdictions.

You agree not to export, re-export, or transfer the SOFTWARE without first obtaining all required licenses or approvals from the relevant authorities.

You also agree not to export or re-export the SOFTWARE (including by electronic means) to any country, organization, or individual subject to embargoes or sanctions under Dutch, U.S., or international law.

RETURN POLICY

We strongly recommend using the fully functional 90-day trial before making a purchase. This allows you to evaluate the SOFTWARE and ensure it meets your needs.

A Must in Every Office BV offers a 30-day money-back guarantee for licenses. Refunds must be requested within 30 days of purchase and include your full name, order number, and a brief explanation.

Refunds will be issued to the original payment method.

UPGRADES

A Professional Edition license includes free upgrades for at least three years from the date of purchase. If a major new version is released within that period, it is included at no additional cost.

After the upgrade period ends, licensed users may continue using the version(s) their license covers indefinitely, including reinstalling it if needed.

If you later decide to upgrade to a newer version, we offer a friendly discount on a new license as a thank-you for being a valued client.

The Home & Charity Edition receives regular updates free of charge. It may not always include the latest version of the SOFTWARE, but it is maintained to ensure compatibility with modern Excel and Windows environments.

SUPPORT

Technical support is included with the Professional Edition license, without any recurring maintenance fees.

Support is offered on a best-effort basis and generally provided by email. We aim to provide timely help with installation, activation, or general usage questions where needed.

Most questions are resolved by referring users to existing documentation or guiding them to the appropriate solution. On-site or remote-access support is not provided.

DISTRIBUTION

The SOFTWARE may be shared freely without a license, provided it is used for non-commercial or evaluation purposes and distributed in its original, unmodified form.

You may share the installer via email, website link, or physical media, as long as the SOFTWARE and its documentation remain unchanged.

You may not charge any fee, request donations, or include the SOFTWARE as part of a paid or bundled offering.

You may not share the license key or any registered version of the SOFTWARE with anyone outside the licensed individual or organization, or use it beyond the number of named users covered by the license.

GOVERNING LAW AND ARBITRATION

This Agreement is governed by and interpreted in accordance with the laws of The Netherlands.

Any dispute related to this Agreement or the SOFTWARE shall be subject to the exclusive jurisdiction of the courts in Zwolle, The Netherlands.

A Must in Every Office BV also reserves the right to seek injunctive or equitable relief in any court of competent jurisdiction, if necessary to protect its rights.
